When you purchase licenses for Cogent software you will receive a license code that unlocks the demo software. If you purchase licenses for release version 6.4, your license code will work with any 6.4.x minor release version and also with any 6.5.x beta version that we make available. Your license code will not work with the next major version release (7.0 for example), however, we do offer a Maintenance Agreement which provides free upgrades and support.

Maintenance Agreement - Overview
The Maintenance Agreement offers the customer peace of mind that all of their technical support questions will be answered on a priority basis, as soon as is reasonable. The customer can also be assured that they will receive free upgrades to all new versions of the software released during the term of the program. At this time, Cogent does not offer an upgrade discount to customers who are not subscribed to the Maintenance Agreement.

The Maintenance Agreement is offered as a yearly subscription based package to customers purchasing the OPC DataHub and related products either directly from Cogent or from one of our local Sales Partners.

Maintenance Agreement - Details

The Maintenance Agreement will provide the customer with the following
  • Free technical support by email, phone or fax, for installation and system configuration.
  • Free upgrade licenses to enable the equivalent features in any new versions of the software that are released within the term of the agreement.
  • If the customer chooses not to upgrade to the new version, they will continue to receive technical support for the products, until such time as Cogent decides to discontinue support for that version of the product.
  • Special arrangements to provide technical support for discontinued products may be arranged on a case by case basis.
The Maintenance Agreement will not cover the following items
  • Guaranteed response time. We will attempt to answer questions and return phone calls as soon as possible.
  • Development of custom DataHub scripts, web pages, ASP, AJAX or Java applets.
  • Debugging of scripts, Excel macros or other customer applications.
  • Consulting services for systems design and project planning.
  • On-site technical support.
Subscription and renewal fees
  • If you purchase the Maintenance Agreement within 30 days of your initial software purchase, the subscription fee will be 20% of the list price of the software licenses you have purchased.
  • If you choose to purchase the Maintenance Agreement after 30 days, then the subscription fee will be 50% of the list price of the software licenses you have purchased.
  • The anniversary date is 12 months from the date of your first purchase.
  • If you renew your subscription within 30 days of the 12 month anniversary date, then you can renew at the same 20% price. After 30 days, the renewal fee will be 50% of the list price of the software you purchased.
  • Renewal notices will be sent to the customer approximately 30 days before the anniversary date.
Adding future purchases to the Maintenance Agreement
  • If you choose to purchase the Maintenance Agreement with your initial purchase, then all future software licenses that you purchase for the same system must also be added to the Maintenance Agreement. You cannot have some software in your system that is protected by the agreement and some software that is not.
  • When you purchase new software licenses, you have 30 days to add the new licenses at the 20% price. After 30 days the subscription fee will be at the 50% price.
  • We pro-rate the subscription fee for adding new licenses so that they match the anniversary date of your first purchase. So if you add new licenses and you have 6 months before your anniversary date, then the subscription fee for the new licenses is only half of the full subscription fee.
  • On the anniversary date, the renewal fee for the next year will be based on the total number of software licenses covered by the Maintenance Agreement.
Adding past purchases to the Maintenance Agreement
  • If you have purchased software licenses in the past and you now want to purchase the Maintenance Agreement for the licenses in your system, then you can do this at 50% of the current list price of those licenses. You must add all the old licenses at the same time.
  • If you want to add new licenses (with the Maintenance Agreement) to an existing system, then you must add all of the old licenses to the new Maintenance Agreement subscription. You cannot buy the Maintenance Agreement for only the new licenses in your system. The old licenses can be added to the Maintenance Agreement at 20% of the current list price when accompanied by an equal or greater value of new software purchases.
  • The subscription fee to add old licenses will be pro-rated so that all of the software licenses will be renewed on the same anniversary date.
Other terms and conditions
  • The renewal date for the Maintenance Agreement will be the anniversary date of the first software purchase.
  • No refunds will be given to customers who choose to cancel their subscription before the anniversary date.
Future changes to the Maintenance Agreement
Cogent reserves the right to make changes to the terms and conditions of the Maintenance Agreement at any time. For existing customers, any changes will come into effect on the next renewal of the agreement.
